Octelligence is the digital minute book and equity platform used by founders, lawyers, accountants, and corporate-services firms to keep corporations in good standing and ready for diligence, financing, or sale.
Octelligence started the way most useful software does: with a problem its founder could not find a good answer to. Corporate records, minute books, share certificates, and cap tables were either living in physical binders, scattered across generic document storage, or locked inside tools built for venture-backed startups rather than the firms and founders who actually maintain these records.
We built Octelligence to fix that. The platform, originally launched as Minute Book Cloud, gives founders a production-grade system for their corporation's records and equity, and gives firms a multi-tenant workspace to manage entire portfolios of client corporations: branded client portals, verifiable share certificates, bulk operations across client books, compliance dossiers, and cap tables per client entity.
Octelligence is bootstrapped, independent, and built in Ottawa, Canada. The people on this page are the people who answer when you reach out.
Designed for jurisdictions across Canada, the United States, the EU, the UK, and the Middle East.
Directors and shareholders, resolutions, annual approvals, and registers, kept in one searchable record with full version history.
Issued certificates carry a public verification URL and QR, so investors, banks, and counsel can confirm status against the live record.
Equity rounds, SAFEs, options, and conversions tied to the same registers and resolutions, so the cap table and the minute book never drift apart.
Multi-tenant client portals, white-label branding, bulk operations across books, compliance dossiers, and cap tables per client entity.
Self-serve plans for founders, operators, and in-house legal teams who want to maintain a clean minute book, issue verifiable certificates, and keep a cap table that holds up in diligence.
Portfolio plans for corporate law firms, accounting firms, registered agents, and corporate-services providers that maintain client minute books and cap tables.
A small, focused team. No layers between you and the people building and selling the platform.

Every feature has to make the underlying record more accurate, more searchable, or more defensible. If it does not, it does not ship.
Lawyers, paralegals, accountants, and corporate-services teams shape what we ship. The roadmap follows what real firms are doing today, not what looks good in a deck.
Bank-grade encryption, regional data residency, role-based access, and an audit-ready activity history are non-negotiable defaults, not paid add-ons.
Templates, registers, and filings reflect the requirements of the corporation's home jurisdiction, not a single one-size-fits-all model.
Octelligence is bootstrapped and founder-operated. Our incentives are aligned with customers paying for software they actually use, not with chasing a fundraising narrative.
English and French across the platform, the documentation, and support. Built for markets where bilingual service is the baseline, not an afterthought.
