Jurisdictions and entities
Which jurisdictions does Octelligence support?
First-class support means full templates and validation for:
- Canadian federal corporations (CBCA)
- Canadian provincial corporations (Ontario, BC, Alberta, Quebec, and others)
- US Delaware C-corps and LLCs
- US corporations in other states
- UK private limited companies
EU jurisdictions are supported for cap table management and verifiable certificates. Minute book templates vary by country — contact us if you need a specific jurisdiction validated before signing up.
Does Octelligence work for LLCs or only corporations?
Both. LLCs use units instead of shares; Octelligence handles the terminology automatically based on the entity type.
Can I manage multiple corporations from one account?
Yes. Every paid plan supports multiple corporations. Starter includes one corporation, Growth includes ten, Scale includes twenty-five, and Portfolio Licensing is designed for firms managing many client corporations.
Versus other tools
How is Octelligence different from Carta, Pulley, Mantle, and Cake?
Octelligence is the only platform in this category that handles cap table and corporate records (minute book, share certificates with verification, filings calendar) in one system. Carta, Pulley, Mantle, and Cake are cap-table-focused. They cover equity well, but founders pair them with a separate minute book solution — usually Google Drive, sometimes counsel's filing cabinet — and reconcile by hand.

Can I keep using my existing tool alongside Octelligence?
You can, but most customers find that maintaining two systems creates more problems than it solves. The reconciliation overhead grows with every issuance. Most teams pick one system as the source of truth and use the other only in read-only mode until the subscription expires.
Cap table and equity
Does Octelligence support SAFE conversions?
Yes — batch SAFE conversion at priced rounds with cap, discount, and MFN handling. See Convert SAFEs at a priced round.
Does Octelligence support convertible notes?
Yes, with interest accrual, maturity, and qualified-financing conversion handling.
Stock options with vesting?
Yes — ISOs, NSOs, and stock options in non-US jurisdictions, with cliff and standard four-year vesting plus custom schedules. See Stock options with vesting.
Does Octelligence handle 409A valuations?
Not directly — we don't perform 409A valuations. We integrate with the data and document side: storing the valuation report, applying the resulting strike price to subsequent grants, and surfacing the valuation expiry date as a filings-calendar reminder.
Do you support waterfall analysis for exit modelling?
Yes, on Growth and above.
Share certificates
Are Octelligence certificates legally valid?
Yes. Octelligence certificates include all elements required by Canadian and US corporate statutes (corporation name, holder name, share class, number of shares, issuance date, certificate number, signature block). Most jurisdictions allow electronic share certificates; some require a corresponding board resolution authorizing electronic issuance, which Octelligence drafts automatically.
What is QR verification?
Every Octelligence certificate has a QR code that points to a public verification URL. Scanning the code shows the certificate's current status (active, superseded, or revoked) and the basic ownership details. Banks, auditors, and counsel use this to confirm a certificate is current without needing an Octelligence account.
Can I brand certificates with my own logo?
Yes, on Scale and Portfolio Licensing. Custom header, typography, and a branded verification page with your logo. The custom verification domain (e.g., verify.yourcorp.com) is an Institution-plan feature.
Corporate records
What's in the minute book?
Meeting minutes (board, shareholders, committees) and written resolutions. Each entry is structured (date, type, attendees, topics) and includes the signed PDF.
Do you template common resolutions?
Yes — director appointments, share issuances, option grants, financing approvals, dividend declarations, and others. Templates are jurisdiction-specific.
Can my lawyer draft resolutions in Octelligence?
Yes. Invite them as Editor and they can draft resolutions, edit minute book entries, and prepare certificates. If you want them to review without making changes, invite them as Viewer instead.
Security and data
How is data secured?
Data is encrypted at rest (AES-256) and in transit (TLS 1.3). Two-factor authentication (TOTP with recovery codes) is available to every user, and Owners on Scale and Portfolio Licensing can enforce 2FA for every team member on a corporation. Every meaningful action is logged with the actor, timestamp, and IP. Backups run continuously and are retained for 90 days.
Where is data hosted?
AWS, with primary in ca-central-1 for Canadian customers and us-east-1 for US customers, with the option to keep data exclusively in your region.
Who owns my data?
You do. You can export everything in standard formats (CSV, PDF, JSON) at any time. If you cancel, you retain export access for 90 days during wind-down.
Is Octelligence SOC 2 certified?
SOC 2 Type II audit is in progress with completion expected in 2026. Our security posture and controls are documented at octelligence.com/security.
Do you offer an API?
Not currently. The product roadmap includes a read API for diligence and reporting integrations.
Pricing and plans
Is there a free plan?
Yes. Free supports one corporation with basic cap table and corporate records. QR-verified certificates, SAFE conversion, and the filings calendar start at $19/mo on Starter.
What's included in concierge migration?
Concierge migration is included on Growth and Scale. We handle the full migration from your source system (Carta, Pulley, Mantle, Cake, Excel, or paper) including holder import, historical issuances and transfers, options and vesting, minute book entry, and reconciliation against the source totals. Typical turnaround is five business days for a clean cap table, two to three weeks for corporations with significant paper history.
How does Portfolio Licensing work?
Portfolio Licensing is designed for law firms and accounting practices managing many client corporations. Pricing scales with the number of client corporations and includes firm-branded certificates, a portfolio dashboard, and roll-up filings calendar. See Portfolio Licensing.
Can I pay annually?
Yes, with a discount over monthly billing on all paid plans.
