Bulk import option grants, restricted stock, and warrants

Ledger's bulk import now covers the instruments that used to be entered one at a time: option grants, restricted stock awards, and warrants. Bring an existing equity book in from a spreadsheet in a single pass, with each row carrying its holder, quantity, grant date, exercise or strike price, and vesting schedule, and holders matched against your People directory so the same person is not created twice. Grants land on the cap table with their vesting intact and their fully-diluted effect counted, so a historical options ledger, a batch of reverse-vesting RSAs, or a set of warrants issued alongside a note round reconciles in minutes rather than being keyed in grant by grant.

Catch duplicate people as you add them

When you add a shareholder, option holder, or SAFE investor whose name or email already matches someone in your People directory, Octelligence now flags it right in the form and offers to link the existing record instead of creating a duplicate. One click reuses that person, pulling in their email and address, so the same individual stays a single record across every corporation they're part of rather than fragmenting into near-identical copies.

Ledger and Equity Vault now run on a single backend at api.octelligence.com, replacing the previous ledger.octelligence.com service. Both surfaces read and write the same record through one API, so a change your team makes in Ledger is what a stakeholder sees in Equity Vault, with no sync step in between. The move also retires the separate database Equity Vault used to run on, leaving one source of truth for records and equity alike.

The equity features that merged into the platform earlier this year now have a stakeholder-facing surface, and because it reads straight from the record your team maintains, every holder sees the same numbers you keep. Send resolutions for e-signature

Circulate a board or shareholder resolution for signature straight from an authorization record. Signers do not need an account: each person gets a private, single-use email link, reviews the exact document, and signs on a no-login page. When everyone has signed, the executed document with its signature certificate is filed to your minute book automatically and the authorization record is marked validated, so the path from "approve an equity action" to "signed, filed, and on the record" stays in one place.
