Flex-BV reforms and modern usage
The 2012 Flex-BV reform removed many formalities that previously distinguished the BV from more flexible jurisdictions. Minimum capital was reduced from €18,000 to €0.01. Shares can have different rights (voting, profit, liquidation), which makes the BV closer to a US C-corp in flexibility. Distributions are subject to a balance-sheet and liquidity test (uitkeringstest), making the directors personally liable if a distribution endangers the BV's solvency.
Why the BV is a global holdco favorite
The Netherlands' extensive tax treaty network, the EU parent-subsidiary directive, and the participation exemption (deelnemingsvrijstelling) for qualifying shareholdings make the BV a preferred international holding-company vehicle. Many global structures have a Dutch BV at the top of an EU/EMEA sub-tree.
Governance and records
BVs have a board (bestuur) of one or more directors; shareholders (aandeelhouders) hold registered shares. The shareholder register (aandeelhoudersregister) is internal but must be maintained at the registered office and is available to authorities. Beneficial-owner information is filed in the Dutch UBO register at the Kamer van Koophandel (KvK / Chamber of Commerce).
